End User License Agreement (EULA)

By trialing/purchasing a license key and/or downloading and using the software, you unreservedly agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not trial/purchase a license key and/or download and use the software.

If you are accepting this EULA on behalf of a company or other legal entity, you represent that you have the legal authority to bind the company or other legal entity to these terms and conditions.

If you are not of legal age to form a binding contract in your country/state, you may not accept this EULA.

Definitions

  • ”We” or “Us” refers to Hoardlix, the developers of this software.
  • ”Trial Version” means a N-day software license for testing and evaluation purposes only (N is decided by us).
  • ”Full Version” refers to the software license as specified on our website or any applicable agreement regarding the purchase of the license (as a standalone product or as part of a subscription).
  • ”Update” means any modified versions, updates, and additions to the software (excluding upgrades).
  • ”Use” refers to accessing, downloading, installing, copying the software or benefiting from using the software.
  • ”You” refers to the end user of the software, or a representative of a company or other legal entity that will become the end user, and users of the software from such a company or legal entity (if applicable).

General

  1. This EULA applies to any license granted by us for the use of the software.
  2. By trialing/purchasing a license key and/or downloading and using the software, you enter into this EULA with us.

Changes to the License Agreement and Website/Product

  1. Hoardlix is evolving, and significant changes may occur. We reserve the right to update the Website and these Terms of Service at our discretion. It is your responsibility to review these Terms periodically.
  2. Your continued use of Hoardlix following updated License Agreement indicates acceptance of the changes.

License

  1. We grant you a non-exclusive, non-transferable, limited, revocable license to use the software as per this EULA. All rights not expressly granted are reserved by us.
  2. We own all intellectual property rights in the software. Purchasing a license key or using the software does not give you any ownership of the software.

Permitted Use and Restrictions

  1. To install the software and receive updates and upgrades, your computer must have internet access and meet the system requirements on this page. These requirements may change in future updates.
  2. You must use the Trial or Full version in accordance with laws and must not:
    • Violate any laws, regulations, or third-party rights, particularly regarding copyright, privacy, and data protection.
    • Use the software for illegal activities; engage in any activity that exploits, harms, or threatens to harm children.
    • Use the software in a manner that could impair, harm, or interfere with our services or others’ use of the service.
    • Use the Trial version on a system where it has expired; rent, lease, lend, sell, redistribute, sublicense the software; assign the license without our written approval.
    • Modify, adapt, decompile, reverse engineer, disassemble, attempt to derive the source code, or create derivative works of the software and the license key, except as allowed by law.
  3. We may modify the software at our discretion without notice, for legal compliance, to avoid infringement claims, or to provide updates and upgrades.

Maintenance and Support

  1. We will notify you of available updates and upgrades.
  2. You are entitled to free updates, except for major updates, which may require an additional fee. The payment policy for major updates will be announced when the upgrades are available.
  3. Support for the software is provided “as is” without warranty, as soon as practicable, subject to personnel availability.
  4. For issues with Hoardlix, please contact us with necessary information. We will attempt to resolve issues but can’t guarantee satisfaction or bug-free operation on all devices.
  5. We reserve the right to refund or revoke your license in the case of insults, defamation, or extreme rudeness in communications.

Disclaimer

The software is provided “as is” and “as available” without any warranties. We are not liable for damages arising from your use of the software, and you agree to defend, indemnify, and hold us harmless from any claims resulting from your use.

Liability Limitation

  1. You agree to indemnify and hold us and our officers, directors, employees, and agents harmless from any claims, including damages, legal fees, and expenses, arising out of or related to your use of the software.
  2. Our liability will be limited to the amount paid for the software, and under no circumstances will we be liable for consequential or punitive damages.
  3. The limitations and exclusions stated may not apply to you if prohibited by the laws of your state.

Governing Law

This EULA and any disputes arising from it will be governed by and construed in accordance with the local laws applicable at our domicile, notwithstanding any differences between the said applicable legislation and legislation in force at your location.

Venue of Jurisdiction

Any disputes arising from this EULA will be handled by the courts having jurisdiction over our domicile.

Dispute Resolution

  1. Disputes should first be brought to us for amicable resolution.
  2. You have the right to take legal action for disputes regarding the use of this application or service. Contact us at the contact details provided on our website.
  3. Complaints can be submitted to our email address specified on our website.

Termination

  1. This EULA remains in effect until the expiry or termination of your license.
  2. The Full or Trial version terminates automatically at the end of the license term unless renewed or activated prior to the end.
  3. We can terminate the license for non-compliance, non-payment, or legal requirements.
  4. Upon termination, you must cease all use of the software and destroy all copies.
  5. Provisions of this EULA that are intended to survive termination will remain in effect after termination.
